1. Service
Vividly ("the Service", "we", "us") is a trip-planning web application operated by the project owner, accessible at https://vividly-studio.com. The Service lets you build personal travel itineraries by adding places, dates, notes, and Google Maps routes, organizes them into a readable format, and offers an optional AI assistant that can answer questions and help extract places from files you upload. These Terms form a binding contract between you and us. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service. We are not a travel agency, tour operator, tour guide, or travel advisor. We do not sell, book, reserve, or recommend flights, accommodations, transportation, attractions, restaurants, or any other travel product. The Service is a personal organization tool for trips you plan yourself.
2. Eligibility
You must be at least 16 years old to use the Service. By creating an account you confirm that you meet this requirement. If we learn that an account belongs to a person under 16, we will close it.
3. Accounts
You sign in to the Service using Google OAuth. You are responsible for the security of the Google account you use to sign in. You must provide accurate information and use the Service only for your own account. You may not share your account with others or use someone else's account. You may delete your account at any time from the settings page. Deletion is immediate and removes your trips, places, routes, chat history, and authentication record. A minimal record of the deletion request is retained as described in our Privacy Policy.
4. Subscription, Free Trial, Billing, and Cancellation
The Service is offered as a paid subscription at USD $15 per month, billed in advance through PayPal. New users receive a 7-day free trial. If you do not cancel before the trial ends, your subscription will automatically begin and your PayPal account will be charged $15. The subscription will then renew automatically each month at the same price until you cancel. Cancellation. You may cancel your subscription at any time, with one click, using the cancel button on your account settings page inside the Service. Cancellation takes effect at the end of the current paid period; you retain access until then. Cancelling does not delete your account or your trips. You may also cancel directly through your PayPal account. Cooling-off and refunds. Under Israeli consumer protection law (חוק הגנת הצרכן) you may have the right to cancel a distance-contract subscription within 14 days of signing up. To exercise this right, contact us at info@vividly-studio.com. The AI assistant, file extraction, and itinerary-generation features of the Service constitute digital content and on-demand digital services that are performed and delivered to you immediately upon each use. Where you have made use of these features, the service has been substantially performed in respect of that usage and the corresponding portion of the subscription value is not refundable, in accordance with the limitations on the cooling-off right under section 14ג of חוק הגנת הצרכן. Where a refund is due, we may deduct (a) the proportional value of the subscription period already used at the time of cancellation, and (b) the proportional value of the AI assistant, file extraction, and route-generation features used during the period, calculated on a reasonable per-use basis to reflect the cost of providing those features. We reserve the right to refuse refunds where, in our reasonable assessment, the cancellation request reflects a pattern of use inconsistent with good faith. Including, but not limited to, completing the planning of a trip using the Service and then requesting a refund without intent to continue using it. This reservation does not affect your statutory rights where they apply. Outside of statutory rights, fees already paid for a current billing period are non-refundable. Price changes. We may change subscription prices. We will give you at least 30 days' notice by email before any price change takes effect. If you do not agree to the new price, you may cancel before it takes effect. Payment provider. Payments are processed by PayPal. We never see, receive, or store your full payment-card number, expiration, CVV, or PayPal password. Disputes about a charge should be raised with us first; you also retain whatever chargeback or buyer-protection rights PayPal provides.
5. Acceptable Use
When using the Service you agree not to: • Upload or store content that you do not have the right to use, including third-party personal data (names, contact details, ID numbers, photos of identifiable people) without that person's consent; • Upload content from restricted categories such as medical records, financial account documents, government-issued ID documents, or any data described as "special categories" under GDPR Article 9; • Upload content that is illegal, infringes intellectual property rights, contains malware, or facilitates harm to others; • Use the Service to send spam, phishing messages, or harassment; • Attempt to access another user's account, trips, or shared data without authorization; • Probe, scan, scrape, or reverse-engineer the Service, or interfere with its operation; • Use the AI assistant to generate content that violates applicable law, infringes others' rights, or breaches these Terms; • Resell, sublicense, or commercially redistribute the Service or its outputs without our written consent. We may suspend or terminate accounts that violate this section. Where we believe content is illegal, we may remove it and, where required by law, report it to authorities.
6. Your Content
You retain ownership of the trips, places, notes, files, and other content you create or upload ("Your Content"). You grant us a limited, non-exclusive, royalty-free license to host, process, display, and back up Your Content solely to operate and provide the Service to you. This license ends when you delete the content or your account, except for backups held for short technical retention periods as described in our Privacy Policy. Sharing. Your trips are private by default. The Service offers a feature to generate a read-only share link for a specific trip. When you share a link, anyone who has the link can view that trip in read-only form. You are responsible for who you share the link with. You can revoke a share link at any time from the trip settings. Third-party data in your uploads. If you upload screenshots, PDFs, social-media posts, or other files that contain other people's personal data, you are responsible for having a lawful basis to do so. Do not upload information about identifiable third parties without their consent.
7. AI Assistant. Disclaimer
The Service includes an AI assistant powered by Google Vertex AI (Gemini family) that can chat with you, answer questions about your trip, and extract place information from files you upload. The AI assistant is provided as a convenience feature. The AI can and does make mistakes. It may produce information that is incorrect, incomplete, outdated, or fabricated, including but not limited to wrong opening hours, wrong addresses, places that do not exist, prices that are no longer accurate, travel times that do not reflect current conditions, visa or entry requirements that have changed, safety information, weather, or local laws and customs. The AI does not have real-time knowledge. You must independently verify any information that matters to your trip. Especially anything involving cost, safety, legal entry, health, bookings, or fixed schedules. With authoritative sources (official tourism boards, airline and hotel websites, government travel advisories, the establishments themselves). Do not rely on the AI assistant as your sole source for any decision. We are not a travel advisor and we do not endorse, guarantee, or take responsibility for any place, route, business, or activity that appears in the Service, whether suggested by the AI, returned by Google Places, or added by you.
8. Third-Party Services and Content
The Service uses Google Maps, Google Places, Google OAuth, Firebase, Cloud Run, Cloud SQL, Google Vertex AI, and PayPal. These services have their own terms and privacy policies, which apply to your use of them through us. Map data, place details, photos, and routing are provided by Google; we do not control their accuracy or availability. Links from the Service to external websites are provided for convenience. We do not control and are not responsible for the content, accuracy, or practices of those websites.
9. Service Availability
We aim to keep the Service available but we do not guarantee uninterrupted access. We may perform maintenance, update features, or modify or discontinue parts of the Service. If we permanently discontinue the Service, we will give paid subscribers reasonable advance notice and a pro-rata refund of any prepaid period not yet consumed.
10. Disclaimer of Warranties
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that AI-generated content will be accurate, current, or fit for any purpose. Nothing in these Terms limits warranties or rights that cannot be excluded under applicable mandatory consumer protection law.
11. Limitation of Liability
To the maximum extent permitted by law: • We are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost data, lost trips, missed connections, cancelled bookings, or damage to reputation, whether based on contract, tort, or any other legal theory; • Our total cumulative liability to you for all claims arising out of or relating to the Service is capped at the greater of (a) the amount you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) USD $100; • We are specifically not liable for any loss arising from your reliance on AI-generated content, third-party data (including Google Places data), travel decisions you make, or third-party services you book outside the Service. Nothing in this section limits liability that cannot be excluded under mandatory law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.
12. Indemnity
You agree to indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of (a) your violation of these Terms, (b) your violation of any law or third-party right, including content you upload that infringes someone else's rights or contains their personal data without consent, or (c) your use of the Service in connection with any travel-related decision, booking, or activity.
13. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your account if you materially breach these Terms, if your account is used unlawfully, or if continued provision is not commercially or legally feasible. Where the breach is curable and circumstances allow, we will give you notice and a chance to fix it. On termination, your right to use the Service ends. Sections that by their nature should survive termination. Including Your Content licenses for already-shared links until revoked, AI Disclaimer, Disclaimer of Warranties, Limitation of Liability, Indemnity, and Governing Law. Survive.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email and/or by an in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date means you accept the updated Terms. If you do not accept them, you may cancel and delete your account.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts in the Tel Aviv–Jaffa District have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that consumers in the European Union and other jurisdictions retain whatever rights they have to bring proceedings in their country of residence under mandatory local law.

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms.
